These media credentials (“Media Credentials”) are issued by Professional Bull Riders, LLC (“PBR”) to the Outlet listed above (the "Accredited Organization") for the sole purpose of providing venue access to the individual(s) listed above (each a "Bearer”), who is employed by or contracted to the Accredited Organization and who has a legitimate media working function in connection with those events/tours listed above (the "Event") for which these Media Credentials are issued. Media Credentials are non-transferable. Any unauthorized use of these credentials shall subject Bearer to ejection from the venue and the Accredited Organization to revocation of some or all of its credentials for this Event and subsequent events, in addition to any and all rights and remedies at law and equity to which PBR may be entitled, all of which are expressly reserved. “PBR" includes its subsidiaries and affiliates, and their employees and agents.
These Media Credentials are granted to the Accredited Organization and Bearer at the sole and absolute discretion of the PBR, and their continuing validity is expressly conditioned upon strict compliance by Bearer and Accredited Organization with all terms and conditions hereof, including the Code of Conduct set forth below. The Accredited Organization and Bearer acknowledge that the PBR, in its sole discretion, may revoke these Media Credentials for any reason, including, without limitation, a determination by PBR in its sole discretion that any breach of the Code of Conduct has occurred. The Accredited Organization and Bearer acknowledge that there is zero tolerance for any such breach.
These Media Credentials shall be used by the Bearer and/or Accredited Organization (and no other entity or person) for the sole purpose of capturing content with a camera or video camera and/or covering the Event with the intent to publish an editorial account of the competition and/or overall Event and provide editorial distribution of the Event in accordance with the information provide above. These Media Credentials authorize use by the Accredited Organization of (i) any descriptions, accounts, photographs, films, audio or video recordings or illustrations of the Event, or any interviews, press conferences, or other venue activities, in each case as captured at the Event as taken, made, created, and compiled by the Accredited Organization or Bearer (collectively, "Event Information"); and (ii) any Event trademarks, logos or names (collectively, the "Marks") in connection with its authorized use of the Event Information. PBR consents to the Accredited Organization’s further distribution of content to the Accredited Organization’s customers exclusively for the customer’s editorial use.
Other than those rights granted above to Accredited Organization, PBR owns and retains all rights to Event Information. Any commercial use or other use of Event Information other than news and editorial coverage is subject to PBR’s prior written consent. Bearer may not provide Event Information to any other person or entity than the Accredited Organization. PBR shall have the right to purchase from Accredited Organization a non-exclusive, royalty-free, perpetual, worldwide, license to use or reproduce, any published content, in any medium, including, without limitation, pictures, photographs, video, or audio taken by the Accredited Organization in connection with these Media Credentials or the Event. PBR will have the right to purchase any of such content at the best financial terms offered to third parties.
Bearer and the Accredited Organization agree that for the duration of the Event any and all Event Information taking the form of film, video, or digital video recordings ("Video Material") may only be used in connection with a regularly scheduled broadcast television or radio newscast or online/digital editorial coverage; and further agree that their use of Video Material in such newscasts shall not exceed three (3) minutes of current-Event highlights on any single day nor forty-five (45) seconds of any one panel or activation, in any form, unless otherwise agreed to in writing between PBR and Accredited Organization. On any given Event day, media shall be limited to showing 5 rides in the “long round” (the rounds preceding the championship round) and 3 rides in the “short” (Championship) round. Further, these video highlights must have editorial commentary. (e.g., a group of rides cannot be posted on YouTube or other streaming services without any commentary.) Video Material may not be shot or broadcast in 3D or streamed live to the Web, or any mobile or other digital platform unless otherwise agreed to in writing between PBR and Accredited Organization. Live or real-time coverage including, without limitation, streaming video, digital images, real-time audio, or other recording or description of the Event, in a manner that is deemed to compete with PBR’s authorized live or real-time coverage of the Event (as determined by PBR in its sole discretion), is strictly prohibited.
The Accredited Organization and Bearer (1) assume all risk incidental to, or in any manner arising as a result of, the performance by Bearer of his or her services or incidental to attending the Event; (2) agree that the PBR has no responsibility for any equipment or property at the Event site; and (3) agree that they are not acting for or on behalf of the PBR in any manner whatsoever and are not employees or agents of the PBR. Bearer and/or Accredited Organization assume all risk and danger incidental to the performance by the Bearer of his or her services; to the sport of bull riding, as well as any risk or danger reasonably foreseeable while on or around the Event venue and on behalf of him/herself, his/her spouse, heirs, personal administrators, successors, assigns, and all others claiming by, through or under him/her, hereby unconditionally waives and releases forever PBR, its parent company, and its and their subsidiaries, affiliates, shareholders, directors, officers, employees, representatives, contractors and agents (individually and collectively, the "Released Parties") from, and covenants not to sue or otherwise commence any action, suit or proceeding against the Released Parties for, any and all liabilities resulting from injuries or personal property loss occurring before, during, or after the Event including but not limited to claims for property damage, bodily injury or death.
Bearer and/or Accredited Organization agree to indemnify, defend, and hold the Released Parties harmless from and against any and all claims, actions, damages, liabilities, costs or expenses (including reasonable attorneys' fees and costs of suit/ arbitration) against third party claims arising out of or in connection with (a) Bearer and/or Accredited Organization’s use of any information taken or obtained at the Event in connection with these Media Credentials, including, without limitation, any claim that use of such information infringes any third party's copyrights, trademarks, rights of publicity, rights of privacy, or other proprietary rights; (b) Bearer’s acts or omissions, or alleged acts or omissions, as well as Bearer’s attendance at and media coverage of the Event; and (c) Bearer’s breach of any of these Terms and Conditions. With respect to any claim that might give rise to liability of the Bearer and/or Accredited Organization as an indemnitor hereunder, PBR shall have the right to fully participate in the litigation of such claim with counsel selected by Accredited Organization and approved by PBR, at the Holder’s sole expense; and not be obligated to participate in any settlement of such claim.
Bearer’s credential is the exclusive property of PBR. Bearer’s credential must be worn and displayed in a visible location at all times while covering the Event. Bearer will be charged One Hundred Fifty ($150) for issuance of a replacement for a lost credential. Failure to timely report a lost or stolen credential may result in suspension or revocation of credential rights.
Acceptance of these Media Credentials constitutes a binding agreement by the Accredited Organization and Bearer to abide by the foregoing conditions, including, without limitation, strict compliance with the Code of Conduct.
Bearer will conduct all business at the Event in a professional manner consistent with the highest standards in the media industry and shall strictly comply with the following Code of Conduct:
Bearer shall not take obscene or inappropriate photographs or any photographs that offend the ordinary standards of decency and tolerance.
Bearer shall not verbally or physically or verbally abuse other Bearers, Event participants, Event guests, and/or Event staff.
Bearer shall access only those areas at the Event venue and/or the official Event hotel that are designated by PBR as open to members of the media.
Bearer shall not enter Event contestant locker rooms, areas behind the bucking chutes, PBR sponsor hospitality rooms, or PBR-sponsored hospitality events for sponsors, contestants, and other guests, unless Bearer is escorted by an authorized PBR representative.
Bearer shall not enter the Event while intoxicated or under the influence of drugs and/or alcohol.
Bearer shall not use offensive language, yell, scream, or disrupt the conduct of the Event in any manner.
Bearer shall at all times comply with all applicable federal, state and municipal laws, rules and regulations.
Bearer shall at all times comply with the instructions and guidelines of accredited PBR Public Relations staff or other senior executives.
